Aronson Capital Partners Advises APEX Expert Solutions on its Sale to SAP NS2

Aronson Capital Partners (“ACP”) is pleased to announce the acquisition of APEX Expert Solutions, LLC (“APEX”) by SAP National Security Services (“SAP NS2”). ACP served as the exclusive financial advisor to APEX’s shareholders during this transaction, which was completed in May 2018.

APEX provides intelligence analysis, operational, and engineering support to Tier 1 special mission units and conventional forces within the U.S.  Department of Defense (DoD) and the Intelligence Community. The company’s tightly coupled analysts, operators, and engineers assist its clients in tackling the most challenging problems that they face in the process, exploitation, and dissemination of sensor data to generate actionable intelligence for the warfighter. As a natural extension of its deep technology and mission-focused expertise in this area, APEX developed a proprietary suite of ISR and big data analytics products that enable multi-INT data management, correlation, visualization, and analysis on an enterprise scale.

ACP believes this transaction emphasizes the importance of the following fundamental characteristics that can enable a company to enhance its strategic value and attractiveness to a broad array of buyers in the national security market:

  • Customer Access: The special operations community is a very difficult market to penetrate. The APEX acquisition provides SAP NS2 access to a highly strategic client base and broad array of contract vehicles developed over many years.
  • Broad Marketability of Offerings: APEX’s intellectual property and product portfolio of sensor data fusion and high-performance computing solutions have far-reaching applicability beyond the national security market. There is an opportunity for SAP NS2 to commercialize some of APEX’s products.
  • Complementary Technologies: SAP NS2 sees the potential to integrate APEX’s sensor data technology (branded as the ATLAS Intelligence Platform) with SAP NS2’s in-memory database management and analytics system called HANA (which stands for high-performance analytic appliance).

APEX will operate as an independent subsidiary of SAP NS2. This transaction provides APEX with the scale and resources of a much larger organization.
